1. Acceptance of the Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you") and ADS Web Services B.V., a private limited liability company incorporated under the laws of the Netherlands, having its registered office in Amsterdam, KvK 42022140, VAT <BTW_NL_NUMMER> ("ADS", "we", "us").
By creating an account, downloading the CoinVault Pro app, or using any part of the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy.
2. Description of the Service
CoinVault Pro is a software-as-a-service platform that offers:
- AI-powered coin recognition via mobile camera;
- Digital collection management;
- Social features such as profiles, posts, comments, likes, follows;
- A marketplace (the "Trading Module") where Users can offer and trade coins;
- Subscription tiers with additional functionality.
3. Subscriptions and payment
- Pricing: the current pricing is shown in-app on the paywall and on the pricing page of our website. All prices are in EUR, including applicable VAT for EU consumers, unless stated otherwise.
- Recurring billing: paid subscriptions are billed on a recurring basis (monthly or annually) and automatically renew until cancelled.
- Auto-renewal notice (EU): for annual subscriptions we will send a reminder by email at least 7 days before automatic renewal, in line with EU consumer law.
- Right of withdrawal (14 days): as an EU consumer you have the right to withdraw from the contract within 14 days of purchase without giving any reason (Art. 6:230o Dutch Civil Code). However, when you start using digital content / digital services before the end of the withdrawal period and you have expressly consented to immediate execution and acknowledged that you thereby waive your right of withdrawal (Art. 6:230p sub g BW), the right of withdrawal lapses. For unused subscription periods you can request a pro-rata refund at our discretion.
- In-app purchases: when you subscribe via Apple App Store or Google Play, payment is processed by Apple or Google respectively. Their terms (Apple Media Services Terms / Google Play Terms of Service) apply to the payment and refund handling. Refund requests for IAP subscriptions must be filed with the relevant store.
- Failed payments: if a payment fails, we may downgrade the account to the free tier until payment is successfully processed.
4. User Generated Content (UGC)
- Ownership: you retain all intellectual property rights in the content you upload (photos, posts, comments, collections).
- License to us: you grant ADS a worldwide, non-exclusive, royalty-free, sub-licensable license to host, store, reproduce, modify (for technical purposes such as resizing or format conversion), display and distribute your UGC solely for the purpose of operating, providing, improving and promoting the Service. This license ends when you delete your content, except for reasonable technical caches and backup copies.
- Warranty: you warrant that you own or have all necessary rights to the UGC and that the UGC does not infringe any third-party rights, including IP, privacy or publicity rights.
- Moderation: we may remove UGC at our sole discretion if we reasonably believe it violates these Terms, applicable law, or platform policies (Apple, Google).
5. Prohibited conduct
You agree not to:
- scrape, crawl, or otherwise systematically extract data from the Service or our API without prior written permission;
- create accounts under false identities, operate sock-puppet or bot accounts, or impersonate any person or entity;
- post fraudulent or misleading marketplace listings, including but not limited to undisclosed counterfeit coins, stolen goods, or altered photos;
- list counterfeit or replica coins without clearly labelling them as "REPRODUCTION" or "COPY";
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the app, except to the extent permitted by mandatory law (e.g. Art. 6 Dutch Software Directive implementation);
- use the Service to engage in unlawful activity, infringe the rights of others, harass, threaten, or distribute hate speech;
- upload viruses, malware, or otherwise interfere with the integrity of the Service.
6. Marketplace (Trading Module)
- Commission: a transaction fee of 5–7% applies to successful sales, depending on your subscription tier and as displayed in-app before listing.
- Escrow (optional): for transactions where both parties opt-in, ADS may hold funds in escrow via Stripe Connect until the buyer confirms receipt or the dispute window expires.
- Dispute resolution: disputes between buyers and sellers should first be addressed directly. If no resolution is reached within 14 days, you may escalate to support@aicoincollector.com. We will mediate in good faith but make no binding decision and are not a party to the underlying sale contract.
- Authenticity disclaimer: ADS does not authenticate coins listed on the marketplace. Buyers are responsible for performing their own due diligence (caveat emptor). ADS shall not be liable for the authenticity, grade, condition, provenance, legality or accuracy of any listing.
- Prohibited listings: stolen items, undisclosed counterfeit coins, items subject to international sanctions or embargoes (including but not limited to coins originating from embargoed jurisdictions), cultural goods exported in breach of UNESCO 1970 / EU Regulation 2019/880, and any other items the listing of which is unlawful.
7. Intellectual property
- The app, website, software, design, databases, and all content provided by us (excluding UGC) are owned by ADS Web Services B.V. or its licensors and are protected by copyright, database rights, trademark and other applicable laws.
- "CoinVault Pro", the CoinVault Pro logo and related marks are trademarks of ADS Web Services B.V.
- The numismatic catalogue data is licensed from Numista SAS and is subject to the Numista Terms of Service; you may not redistribute it outside the Service.
8. Limitation of liability
- The Service is provided "as is" and "as available". We do not warrant the accuracy, completeness, or reliability of AI coin recognition results or valuations. AI outputs are estimates, not professional appraisals.
- To the maximum extent permitted by mandatory law, our aggregate liability arising out of or in connection with the Service shall be limited to the amount of subscription fees actually paid by you in the 12 months preceding the event giving rise to the claim.
- We are not liable for indirect, incidental, consequential or special damages, including but not limited to lost profits, lost data, loss of goodwill, or business interruption.
- Force majeure: we are not liable for failure or delay caused by events outside our reasonable control, including but not limited to natural disasters, war, terrorism, cyber-attacks, pandemics, governmental actions, or failures of third-party infrastructure providers.
- Nothing in these Terms limits or excludes our liability for damage caused intentionally or by gross negligence, for death or personal injury, or for any liability which cannot be excluded under mandatory Dutch consumer law.
9. Termination
- By you: you may cancel your subscription and/or delete your account at any time, no questions asked, via Account → Delete account or by contacting support. For IAP subscriptions, cancellation must be done via the Apple or Google store account settings.
- By us: we may suspend or terminate your account if you materially breach these Terms. Except in cases of serious breach (e.g. fraud, child safety violations, repeated infringement), we will first give you a warning and a reasonable opportunity to remedy.
- Refund on no-fault termination: if we terminate your account without fault on your part, we will refund the pro-rata unused portion of any pre-paid subscription period.
- Effect of termination: upon termination your right to use the Service ceases immediately. Provisions which by their nature should survive termination (IP, liability, governing law) will remain in force.
10. Governing law
These Terms are governed by the laws of the Netherlands, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, mandatory consumer protection laws of the country of habitual residence remain unaffected.
11. Dispute resolution
- Step 1 – Direct contact: please contact support@aicoincollector.com first. We aim to resolve issues within 14 days.
- Step 2 – Mediation: if direct contact fails, both parties agree to attempt mediation in good faith via a mediator registered with the Mediatorsfederatie Nederland (MfN).
- Step 3 – Court: any remaining dispute shall be submitted to the exclusive jurisdiction of the competent court in Rotterdam, the Netherlands. EU consumers retain the right to bring proceedings before the courts of their country of habitual residence.
- EU ODR platform: consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
12. Final provisions
- Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be replaced with a valid one that most closely reflects the original intent.
- No waiver: our failure to enforce any provision does not constitute a waiver of that or any other provision.
- Entire agreement: these Terms, together with the Privacy Policy and any in-app purchase terms, constitute the entire agreement between you and ADS regarding the Service.
- Assignment: you may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Updates: we may update these Terms from time to time. Material changes will be notified at least 30 days in advance by email or in-app banner.
